The Board of Directors
The Board of Directors is the body which has collective and corporate responsibility for governance and providing leadership to the Society. It is also responsible for ensuring the Society and its members fulfil it stated objectives and act in accordance with its By-Laws and Articles of Association. It is the Chair’s responsibility to provide leadership to the Board.
General Responsibilities
The Chair is responsible for ensuring that the Board of Directors and its members are:

aware of and fulfill their governance responsibilities and comply with the bylaws
-
conduct board business effectively and efficiently
-
are accountable for their performance
In order to fulfill these responsibilities, and subject to the organisation's bylaws, the Chair:

presides over meetings,
-
proposes policies and practices
-
represents the Society at a national level
-
monitors the performance of Directors and Officers
-
submits various reports to the board
Accountability
The Chair is accountable as outlined in The Articles of the Company. The Chair may delegate specific duties to Board members and/or committees as appropriate; however, the accountability for them remains with the Chair.
Specific Duties
The Chair is responsible for:

Planning and leading the Society’s Annual General Meeting

Planning and facilitating an annual schedule of Board Meetings

Developing and maintaining positive and productive relationships with stakeholders and external partners

Represent the organization nationally and to the media
-
Ensure members are aware of the actions and decisions of the Board
